The fact is the Giants only went two years on a 31 year old Freddy. On the open market, I don't think Scutaro is going to find a team willing to give him a two-year guaranteed contract. Not for a 37 year old MI in the "post" PED era. You can't reasonably expect him to repeat a 130 OPS+ stretch, so why would you feel the need to lock up a league average MI?
Absent a ring, I can see the Giants offering one year, with a second year mutual option and a buyout - and only that because of the lack of MI org depth. And I'd still expect them to see whether any other options are out there - potentially 23 MI free agents hitting the market in 2013.
